ezEMRx Privacy Policy

ezEMRx offers a web-based Electronic Health Record application to physician users and their authorized practice users which is housed in secure data centers. ezEMRx is dedicated to protecting the privacy of the users of any of our products and any health information stored or transmitted thru our products. ezEMRx's products are developed with the highest levels of security.

ezEMRx also allows you to make health information available to your patients thru its websites at your request. You have signed an agreement relating to ezEMRx products, its usage and does take precedence over this Privacy Policy.

Collection of Personal Information
When visiting ezEMRx, the IP address used to access the site will be logged along with the dates and times of access. This information is purely used to analyze trends, administer the site, track movement and gather broad demographic information for internal use. Most importantly, any recorded IP addresses are not linked to personally identifiable information.

We have included links to other websites for your use and reference. ezEMRx is not responsible for the privacy policies on these websites which may differ from our own.

Permitted Use of Information
We may allow access to your information by other health care providers and their business associates for treatment. This includes disclosing health information for related applications that you select, such as clinical laboratory reporting, billing and e-prescribing, as well as to other health care providers to whom you agree to give access to your protected health information for treatment. You agree to be bound by the terms of any licensing and other agreements relating to such third-party products and services. Allow access to health information to your patients through the ezEMRx Patient portal. You control which of your patients have access to their health records, and what kind of information they can see.

Account Audits
ezEMRx performs audits on all events. We log and audit system use in order to ensure that users are using the system appropriately. If we have questions about your use of the system, we may contact you. We may also disclose your identity to others to assist in the investigation of suspected misuse of our products, and otherwise to ensure the proper operation of our products.

You are solely responsible for (1) maintaining the strict confidentiality of any user name or password assigned to you (known as credentials), (2) not allowing another person to use your credentials to access ezEMRx, (3) any damages or losses that may be incurred or suffered as a result of your failure to maintain the strict confidentiality of your credentials, and (4) promptly informing ezEMRx in writing of any need to deactivate your credentials due to potential or actual security breaches. ezEMRx is not liable for any harm related to the theft of your credentials, your disclosure of your credentials, or your authorization to allow another person or entity to access and use the site using your credentials. You agree to immediately notify ezEMRx in writing of any unauthorized use of any of your credentials.

Clinical Content
We may provide information and material (known as information) to assist you in clinical decision-making from third parties. ezEMRx has no control on this information and is not responsible for the accuracy or completeness of such information. This may include information pertaining to drugs, interactions, allergies, dosages, as well as general health-care related information and patient educational resources. The information is not intended to constitute professional advice, diagnosis or treatment, or to substitute for your professional judgment.  You assume full risk and responsibility for the use of information you obtain from ezEMRx, and you agree that ezEMRx, Inc. is not responsible or liable for any claim, loss, or liability arising from the use of the information.

Service Level Agreement

The ezEMRxPrivate Service Level Agreement ("SLA") is intended to describe the level of availability of the hosted ezEMRxPrivate production server that ezEMRx will provide to the Physician Practice.

During the term of the Physician Practice Agreement, the ezEMRxPrivate production server will be operational and available to the Physician Practice for at least 99.9% of the time, excluding scheduled downtime, in any calendar month. If ezEMRx does not meet the SLA, and if the Physician Practice meets its obligations under this SLA, the Physician Practice will be eligible to receive the SLA Credits ("SLAC ") described below. This SLA states the Physician Practice's sole and exclusive remedy for any failure by ezEMRx to provide the Services covered by this SLA.



Downtime is measured based on the in-accessibility rate of the hosted ezEMRxPrivate production server due server side failures only. If there is more than fifteen percent (15%) of the user community finding the ezEMRxPrivate production server in-accessible then this constitutes a Downtime

Downtime Period

A period of thirty consecutive minutes of Downtime. Intermittent Downtime for periods less than thirty minutes is not counted towards Downtime Periods

Covered Services

This refers to the access of the hosted ezEMRxPrivate production server as defined as "nexus.ezemrx.com"

Monthly Uptime

((60 x 24 x Days of the calendar month) - (Number of minutes of Downtime from all Downtime Periods in the calendar month)) /  (60 x 24 x Days of the calendar month)

Scheduled Downtime

TOI will notify the Physician Practice of periods of Downtime to the commencement of such Downtime. Scheduled Downtime is not considered Downtime for purposes of this SLA, and is not counted towards any Downtime Periods

Physician Practice Responsibilities

The Physician Practice must notify ezEMRx and request the SLAC within thirty days (30) from the time the Physician Practice becomes eligible to receive SLAC.

SLAC is only available to the ezEMRx hosted model of subscription.

Failure to comply with the above will forfeit the Physician Practice’s right to receive SLAC.

The SLA does not apply to any service/s that expressly exclude this SLA or any performance issues: (i) caused by factors outside of ezEMRx’s reasonable primary control, including without limitation, acts of God, acts of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labor problems (other than those involving ezEMRx employees), or Internet service provider failures or delays, SSL provider failures and; (ii) that resulted from the Physician Practice’s equipment or third party equipment/software, or both (not within the primary control of ezEMRx).

Maximum Credit
The aggregate maximum number of SLAC to be issued by ezEMRx to the Physician Practice for all Downtime Periods that occur in a single calendar month shall not exceed fifteen days (15) of Service to be added to the end of the Physician Practice’s term. SLAC may not be exchanged for, or converted to monetary/subscription amounts.
